"The Second Bashu Culture and Tourism Integration Development Forum and the Chinese Landscape Tea Ceremony Culture Festival" Donation Agreement

  Party A: Chongqing Diligence General Machinery Co., Ltd.

  Party B: Banan District Cultural Tourism Development Committee 

  In order to ensure the successful holding of the "Second Bashu Culture and Tourism Integration Development Forum and the Chinese Landscape Tea Ceremony Culture Festival" and to raise part of the funds needed for the event, both parties sign the "Second Bashu Culture and Tourism Integration Development Forum and the Chinese Landscape Tea Ceremony Culture Festival" Donation Agreement based on their respective functions. In this agreement, Party B is the main organizer responsible for the unified handling of the event's donation work; Party A is a company willing to donate to this event, with good credit and actively participating in cultural activities, willing to donate funds according to this agreement. After friendly consultation between both parties, in accordance with the Contract Law of the People's Republic of China and relevant laws and regulations, the following agreement is reached to clarify the rights and obligations of both parties regarding related matters:

  Article 1 Payment of Donation Funds

  Party A donates a total of ten thousand yuan (¥10000.00). Payment deadline: within 5 working days after the agreement is signed.

  Article 2 Obligations of Party A

  Without written permission from Party B, Party A shall not use this contracting behavior for any commercial publicity.

  Article 3  Obligations of Party B

  1. After Party A delivers the funds as stipulated in this agreement, Party B shall assist Party A in the transfer and handover of the funds and provide relevant documentation and receipts;

  2. Party B guarantees that the funds provided by Party A will be used for cultural tourism festivals and public welfare publicity related to the "Second Bashu Culture and Tourism Integration Development Forum and the Chinese Landscape Tea Ceremony Culture Festival."

  Article 4 Irrevocability

  This agreement shall take effect upon the signing and sealing by both parties. Party A and Party B guarantee that this agreement is an irrevocable donation agreement, and neither party may refuse to perform, partially perform, or terminate the performance of this agreement on the grounds that this agreement has not been actually performed.

  Article 5 Confidentiality

  Both parties shall strictly keep confidential all contents of this agreement and any confidential information about the other party obtained during the performance of this agreement. Except with the prior written consent of the other party or as required by relevant laws and regulations to disclose to a third party, the party receiving the confidential information shall not disclose the confidential information or any part thereof to any other third party (except for hired lawyers and accountants).

  Article 6 Liability for Breach of Contract

  If one party fails to comply with or perform the obligations stipulated in this agreement, the non-breaching party may notify the breaching party in writing to terminate this agreement and has the right to request compensation for losses. 

  Article 7 Compliance with Laws

  If there is reasonable cause to believe that any provision of this contract violates national or local laws and regulations, the parties shall promptly amend this contract to comply with the law. However, if the amendment causes this agreement to lose its fundamental purpose, both parties agree to terminate it. If this agreement is terminated due to this article, the funds shall be paid according to the degree of performance up to the termination date. Any amounts paid for the future shall be refunded proportionally, and except for the provisions that remain valid after the termination of the agreement, neither party shall have any obligations or liabilities regarding this agreement.

  Article 8 Force Majeure

  1. Due to unforeseen, unavoidable, and uncontrollable circumstances (force majeure events) such as floods, fires, earthquakes, riots, strikes, labor movements, diseases (including infectious diseases such as COVID-19), or orders issued by government departments after the official announcement of the event schedule, if it causes the inability to perform or delay in performing this agreement, the party encountering the above force majeure events shall not be considered in breach of contract, and the performance time shall be extended accordingly.

  2. The party affected by force majeure must promptly notify the other party of the nature and extent of the force majeure and provide evidence. If the force majeure continues or accumulates for more than one month, both parties shall conduct sincere consultations to mitigate the impact or make alternative arrangements as far as reasonably possible.

  Article 9 Dispute Resolution

  Any disputes arising from or related to this agreement shall be resolved through negotiation between the parties. If negotiation fails, both parties may choose the following dispute resolution mechanisms:

  1. Submit to an arbitration committee for arbitration according to arbitration rules;

  2. Sue in a competent people's court.

  Article 10 Others

  1. This agreement may not be modified without the consent of both parties and specifically indicated as a modification to this agreement, and must be signed in writing by authorized representatives of both parties.

  2. The titles in this agreement are for convenience of reference only and do not constitute the substantive content of this agreement.

  3. This agreement is made in triplicate, with Party A holding one copy and Party B holding two copies.

  4. Matters not covered in this agreement shall be resolved through further consultation between the parties.
